Private Stock Offering:
The company has previously offered shares of common stock to "accredited investors" in a Private Offering. The minimum investment must be at least $15,000. An "accredited investor" is defined within the meaning of Rule 501(a) under the Securities Act of 1933.
"Accredited investors" must meet one or more of the following requirements:
(i) The investor is a natural person whose net worth, individually or jointly with spouse, exceeds $1,000,000 (inclusive of the value of home, home furnishings and automobiles);
Or
(ii) The investor is a natural person whose personal income exceeded $200,000 in 2005 and 2006 or joint income with that person's spouse was in excess of $300,000 in each of those years, and who reasonably expects personal income exceeding the same level in 2007;
Or
(iii)The investor is an entity (e.g., a corporation, partnership or trust) all of the holders of equity interest of which meet the requirements of either category (i) or (ii) above.
